Terms of service.

Isara’s Data Processing Agreement (“DPA”)

Isara’s Acceptable Use Policy (“AUP”)

Isara’s Sub-processors

1. Acceptance

These Terms of Service (“Terms” or “TOS”) are an agreement between Isara Systems Ltd, a company registered in England and Wales (company number 17091101) whose registered office is at 5-23 Old Street, London EC1V 9HL (“Isara”), and the customer that accepts them (“Client”). They govern the features of the Isara platform that Isara provides to Client in exchange for payment (the “Services”).

Isara may update these Terms from time to time. Isara will give Clients with a paid subscription at least 30 days’ notice of any material change, by email or in-product notice, before it takes effect. Changes required by law or made to address security issues may take effect sooner. Changes to the DPA require Client’s agreement. The most current version of these Terms can be reviewed by clicking on the “Terms” link at the bottom of Isara’s web pages.

You must be at least 18 years old to use the Services. The minimum age to use the Services without parental approval may be higher in your home country.

By installing, accessing, or using the Services, you agree to these Terms. By using the Services after a new version of the Terms has taken effect, you agree to that new version.

2. Services

The Services include any data collection, preparation and analysis, platform hosting, and creation of any data insights. The Services incorporate any maintenance, updates, new content, or functionality. We may also remove, limit, decrease, or change some functions or characteristics of the Services as part of Isara’s efforts to improve them, or permanently or temporarily stop providing the Services or any functionalities.

Some of the Services might have additional terms and conditions or licenses which are applicable to additional services, so make sure to read those before using them. By using or paying for any additional services, you agree to any additional terms applicable to those services, and those additional terms become part of Isara’s agreement with you. Subject to the order of precedence in Section 20, if any of the applicable additional terms conflict with these TOS, the additional terms will prevail while you are using those services to which they apply.

3. Registration and User Accounts

To be eligible for the Services, you must register an account to access the Services.
Isara shall have the right to suspend and/or terminate your use of the Services if it discovers or reasonably suspects that you have violated these Terms.

Client may authorize Users to access and use the Services, in accordance with the usage guidelines and technical documentation (“Documentation”) and Client’s order document evidencing Client’s subscription to the Services (“Order” or “Order Form”). Client is responsible for its Users’ compliance with these Terms and all activities of its Users, including Orders they may place, apps and third-party services enabled, and how Users access and use the Services and Client Data.

Client must ensure that each User keeps its login credentials confidential and must promptly notify Isara if it becomes aware of any unauthorized access to any User login credentials or other unauthorized access to or use of the Services.

4. License

a.     Permitted Use. Provided Client complies with the restrictions set forth in these Terms, Isara hereby grants Client a nonexclusive, revocable, worldwide license to exploit the Services for internal business purposes.

b.     Outputs. Isara hereby grants Client a nonexclusive, perpetual, worldwide license to reproduce, distribute, modify, publicly perform, publicly display, and use Outputs, with the right to sublicense each and every such right. Isara grants the license in the preceding sentence under such copyrights as it may have, if any.

c.     Restrictions. These Terms grant Client no title to or ownership of the Services, and Client receives no rights to the Services other than those specifically granted above (Permitted Use). Without limiting the generality of the foregoing, Client shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive any of the Services source code.

d.     Reservation of Rights. All content included in or made available through the Services, such as text, graphics, logos, icons, images, sounds, music, digital downloads, data compilation, software, and documents is the exclusive property of Isara (with exception of Client Data) or its content suppliers and is protected by the various applicable trade dress, copyright, trademark, patent, and other intellectual property and unfair competition laws in the United Kingdom, the United States and internationally. All rights not expressly granted to you in these Terms are reserved and retained by Isara or its licensors, suppliers, publishers, rightsholders, or other content providers.

5. How You May Use Isara’s Services

a.     Client shall not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services.

b.     You must use the Services according to these TOS, AUPs, and any other applicable licensing or use agreements. If Outputs generated by the Services include material that would violate the AUP, do not distribute or publicize those outputs, and do not use them in any way that could cause harm to a third party.

c.     Isara’s Services do not provide access to emergency service providers like the police, fire department, hospitals, or other public safety organizations. Make sure you can contact emergency service providers through a mobile, fixed-line telephone, or other service.

6. Delivery and Access Processing

No Order is binding until Isara provides its written acceptance, including by sending a confirmation email, providing access to the Services, or making license or access keys available to Client. No purchase order or other document issued by Client will supersede, supplement or otherwise apply to these Terms, except an Order Form signed by both parties. Isara will deliver login instructions for Services electronically, to Client’s account (or through other reasonable means) promptly upon receiving payment of the fees.

7. Client Data

a.     Client Data. “Client Data” means all information provided by Client to Isara which may include information provided by Client, Client’s affiliates, agents, users, customers, employees, and other third parties, and other information generated through use of the Services by or on Client’s behalf. Client Data may contain Personal Data as defined in Isara’s DPA or in applicable laws. You retain your rights to any Client Data you input, post, or display to, on, or through the Services.

b.     Client Data Use. Client grants Isara a non-exclusive, worldwide, royalty-free licence, for the term of Client’s subscription, to host, copy, process, transmit and display Client Data solely to (i) provide, secure and support the Services for Client; and (ii) create Anonymised Data in accordance with Section 7(d). Isara processes Personal Data within Client Data only as a processor under the DPA. Isara will not publish or sell Client Data, and will not disclose it to any third party except to its sub-processors under the DPA or as permitted by Section 7(h).

c.     Erasure. Isara may permanently erase Client Data if Client’s account is delinquent, suspended, or terminated for 30 days or more, without limiting Isara’s other rights or remedies.

d.     Anonymised Data. Isara may create Anonymised Data from Client Data and may use it only to: (i) develop, train, improve and maintain Isara’s models, algorithms and Services; and (ii) produce aggregated statistics and benchmarks that combine data from at least five clients, which Isara may publish. Isara will not sell Anonymised Data, and will not disclose it in any form that identifies, or could reasonably be linked to, Client or any individual. “Anonymised Data” means data derived from Client Data that has been irreversibly anonymised in line with applicable data protection law, so that neither Client nor any individual can be identified, directly or indirectly. Data from which only direct identifiers have been removed is not Anonymised Data.

e.     Data Collection. You represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power, or authority necessary to grant the rights granted herein for any Client Data that you submit, post, or display on or through the Services.

f.     Isara Models. Isara owns its models, algorithms and the training datasets it builds from Anonymised Data. These Terms give Client no right to access those datasets. Isara will not use Client Data, including prompts built from Client Data and Outputs generated for Client, to train, fine-tune or otherwise improve any AI model, except in the form of Anonymised Data under Section 7(d). “Output” means a response generated by the Services for Client.

g.     Client Isolation. Isara keeps Client Data logically separated from other clients’ data. Isara will not show or provide Client Data, or Outputs generated for Client, to any other client or to any user outside Client’s account. Isara applies anonymisation and testing measures designed to prevent any model trained on Anonymised Data from reproducing Client Data.

h.     Other Permitted Disclosure. Isara also reserves the right to access, read, preserve, and disclose any information as reasonably believed is necessary to

i.     satisfy any applicable law, regulation, legal process, or governmental request,

ii.     enforce the TOS, including investigation of potential violations hereof,

iii.     detect, prevent, or otherwise address fraud, security, or technical issues,

iv.     respond to user support requests, or

v.     protect Isara’s rights, property, or safety, its users, and the public.

8. Feedback

Any Feedback (as defined below) Client provides to Isara is not confidential and shall not be treated as such, and nothing in these TOS will restrict Isara’s right to use, profit from, disclose, publish, keep secret, or otherwise exploit Feedback, without compensating or crediting Client. Feedback will not constitute Confidential Information. (“Feedback” refers to any suggestion or idea for improving or otherwise modifying any of the Services or any other Isara product or service. Feedback does not include Client Data.)

9. Fees and Payments

a.     Payment Processor. All payments under this Agreement will be processed through Isara’s third-party payment processor, Stripe, Inc. (“Stripe”). Client acknowledges that (a) the processing of payments will be subject to the Stripe Services Agreement located at https://stripe.com/legal/ssa (collectively, the “Stripe Terms”) and to all applicable taxes, credit card fees, bank fees, foreign transaction fees, foreign exchange fees, and currency fluctuations, and (b) Stripe may update the Stripe Terms from time to time. By paying Fees through Stripe, Client agrees to be bound by the Stripe Terms.

b.     Privacy. Any private personal data that you provide in connection with your use of the Services including, without limitation, any data provided in connection with payment, will be processed in accordance with the Isara Privacy Policy. Isara may share your payment information with payment services providers to process payments; prevent, detect, and investigate fraud or other prohibited activities; facilitate dispute resolution such as chargebacks or refunds; and for other purposes associated with the acceptance of credit cards, debit cards, or ACH. It is your responsibility to make sure your banking, credit card, debit card, and/or other payment information is up to date, complete and accurate at all times. If you make a payment for the Service, we may receive information about your transaction such as when it was made, when a subscription is set to expire or auto-renew, what platform you made the purchase on, and other information. Isara will not be responsible or liable for any errors made or delays by Stripe, your bank, your credit card company, and/or any payment network.

c.     Taxes. Amounts due under this Agreement are payable to Isara without deduction for any tax, tariff, duty, or assessment imposed by any government authority (national, state, provincial, or local), including without limitation any sales, use, excise, ad valorem, property, withholding, or value-added tax, whether or not withheld at the source (collectively, “Sales Tax”). Unless otherwise provided, all payments do not include any Taxes. Client is responsible for paying all taxes, including, but not limited to sales, use, GST, and VAT taxes, associated with its purchases hereunder, excluding taxes based on Isara’s net income or property. Unless otherwise provided, the tax amount invoiced shall be paid by Client, unless Client provides a valid tax exemption certificate authorized by the appropriate taxing authority upon execution of an Order. Taxes not included on an invoice shall be the responsibility of the Client to remit to the appropriate tax authorities as necessary.

d.     Non-Refundability. Except as expressly provided herein, all payment obligations are non-cancellable and all Fees paid are non-refundable.

e.     Subscription Term and Cancellation.
Subscriptions to the Services are billed on a monthly basis and automatically renew at the start of each monthly billing period unless cancelled by Client. Billing and renewal are processed through Isara’s third-party payment processor, Stripe, in accordance with the Stripe Terms.

Client may cancel its subscription at any time through Stripe billing interface, accessible via Isara’s Account & Settings page. Cancellation will take effect at the end of the then-current billing period. Any billing period that has commenced is payable in full and fees are non-refundable. Upon cancellation, Client will retain access to the Services until the end of the applicable paid billing period, after which access will terminate in accordance with these Terms.

Where an Order Form sets an annual or other fixed term, the term, pricing, invoicing method, renewal and cancellation terms in that Order Form apply instead of this Section 9(e). Fees for a committed term are payable for the full term. A committed term does not cancel at the end of a monthly billing period, and may not be cancelled early except as expressly permitted in these Terms or the Order Form. Unless the Order Form states otherwise, a committed term renews for a further term of equal length unless either party gives written notice of non-renewal at least thirty (30) days before the end of the current term.

10. Privacy and Data Location

Isara processes Personal Data within Client Data as a processor under the DPA, which forms part of these Terms. Isara stores and processes Client Data in the region assigned to Client’s account: the United States for clients based in the United States, and the UK or EEA for clients based in the UK or EEA. Any transfer of Personal Data outside that region is made only under the safeguards set out in the DPA.

11. Limitations on Use

Client shall not use the Services:

a.     to reverse engineer Outputs in order to generate underlying information, including without limitation Isara’s models or training datasets (model inversion attacks);

b.     to generate, transmit, or otherwise manage fake or intentionally misleading data intended to corrupt Isara’s models or any other AI system;

c.     to reverse engineer, decompile, or disassemble the Services;

d.     to access, tamper with, or use non-public areas of the Services, Isara’s computer systems, or the technical delivery systems of our providers;

e.     to probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;

f.     to access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by Isara (and only pursuant to the applicable terms and conditions);

g.     to send altered, deceptive, or false source-identifying information;

h.     to interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services; or

i.     for any unlawful purpose.

12. Isara Warranties

a.     Re Function. Isara warrants that during the duration of an applicable Order, the Services will perform materially as an analytics platform with the functions described in the Documentation. In the event of breach of the warranty in the preceding sentence, Isara shall: (i) repair the Services; (ii) replace the Services with software of substantially similar functionality; or (iii) if such attempts do not succeed after 60 days, refund all amounts paid by Client for such Services. Isara’s obligations set forth in this Subsection 12(a) include, without limitation, repair of the Services provided to Client. The preceding sentence, in conjunction with Client’s right to terminate this Agreement for breach where applicable, states Client’s sole remedy and Isara’s entire liability for breach of the warranty in this Subsection 12(a).

b.     Re IP. Except for the warranty disclaimer contained in Section 14(c), Isara warrants that it is the owner of the Services and of each and every component thereof, or the recipient of a valid license thereto. Isara warrants that it is not aware of any copyright, patent, or other intellectual property infringed by the Services, and that it is not aware of any claim of intellectual property infringement related to the Services. In the event of breach of the warranty in this Subsection 12(b), Isara shall, at its own expense, (i) secure for Client the right to continue exercising its rights granted in Article 4 above (License) or (ii) replace or modify the Services to make it noninfringing, provided such modification or replacement does not materially degrade any functionality set forth in the Documentation; provided if neither of the foregoing is practical, Isara may (iii) terminate any or all licenses granted in this Agreement. The preceding sentence states Isara’s sole obligation and liability, and Client’s sole remedy, for potential or actual intellectual property infringement by the Services.

13. Client Warranties

Client represents and warrants that:

a.     All information that you submit to Isara is truthful and accurate.

b.     If a person is accepting these Terms and using the Services on behalf of a company, organization, government, or other legal entity, Client represents and warrants that such person is authorized to do so and has the authority to bind such entity to these Terms.

c.     Client has an obligation to keep its information up to date in its user profile. If any information that you have provided materially changes and/or your user profile is no longer accurate, Client will update its user profile in a timely manner.

d.     Client has and will collect Client Data in compliance with all applicable laws, including without limitation laws on privacy, security, and disclosure of personal information; and it has and will obtain such consents when required by applicable law for Isara to access and process the Client Data as authorized by these TOS.

14. Warranty Disclaimers

a.     CLIENT ACCEPTS THE SERVICES AND OUTPUTS “AS IS” AND “AS AVAILABLE”. EXCEPT FOR THE EXPRESS WARRANTIES SPECIFIED ABOVE IN ARTICLE 12, ISARA MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR ANY IMPLIED WARRANTY ARISING FROM STATUTE, COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ISARA HAS NO OBLIGATION TO INDEMNIFY, DEFEND, OR HOLD HARMLESS CLIENT, INCLUDING WITHOUT LIMITATION AGAINST CLAIMS RELATED TO PRODUCT LIABILITY OR INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, UNLESS THESE TOS OR AN ORDER SPECIFICALLY PROVIDES FOR SUCH INDEMNITY.

b.     ISARA OFFERS NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, RELATED TO INTELLECTUAL PROPERTY OR OTHER RIGHTS IN OUTPUTS, AND CLIENT USES OUTPUTS AT ITS OWN RISK WITH REGARD TO ALL SUCH RIGHTS.

c.     ISARA DOES NOT REPRESENT OR WARRANT THAT OUTPUTS WILL BE FREE OF CONTENT THAT INFRINGES THIRD PARTY RIGHTS, INCLUDING WITHOUT LIMITATION PRIVACY AND INTELLECTUAL PROPERTY RIGHTS.

d.     ISARA DOES NOT REPRESENT OR WARRANT THAT THE SERVICES WILL BE FREE FROM THIRD PARTY INTERFERENCE.

e.     Isara implements and maintains the security measures described in the DPA. Subject to Isara’s obligations under the DPA, Isara does not warrant that the Services will be free from errors or interruption. Isara gives no warranty regarding, and will have no responsibility or liability for, any loss arising out of a modification of the Services made by anyone other than Isara.

f.     Additionally, subject to Isara’s obligations under the DPA, Isara makes no warranty or representation and disclaims all responsibility and liability for:

i.     the completeness, accuracy, availability, timeliness, or reliability of the Services;

ii.     any harm to your hardware, loss of data, or other harm that results from your access to or use of the Services;

iii.     the deletion of, or the failure to store or to transmit, any data and other information maintained by the Services; and

iv.     the accuracy of the data uploaded to the Services, including without limitation Client Data.

g.     Isara has no responsibility, obligation, or liability to Client, its agents, assigns, contractors, employees, or end-customers, any other related person, or to other third parties receiving access to the Services from or through Client, and Client will make no representation or warranty on Isara’s behalf.

15. Limitation of Liability

a.     ISARA SHALL HAVE NO LIABILITY FOR CLIENT’S DECISION TO TAKE OR NOT TO TAKE ACTION BASED ON THE INFORMATION, RULES, INTELLIGENCE, OR RECOMMENDATIONS BUILT INTO OR PROVIDED THROUGH THE SERVICES.

b.     NEITHER PARTY IS LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL LOSS, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, WHETHER OR NOT FORESEEABLE.

c.     ISARA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE DPA AND ANY ORDER FORM IS LIMITED TO THE FEES PAID BY CLIENT FOR THE SERVICES IN THE 6 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT APPLIES TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.

d.     NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY LAW.

16. Confidentiality

a.     Confidential Information Defined. “Confidential Information” refers to information disclosed by either party (“Discloser”) to the other (“Recipient”): (a) any document Discloser marks “Confidential”; (b) any information Discloser orally designates as “Confidential” at the time of disclosure, provided Discloser confirms such designation in writing within 10 business days; (c) the non-public features and functions of the Services, for which Isara is Discloser, including AI software, models, documentation, user interfaces; (d) any other nonpublic, sensitive information Recipient should reasonably consider a trade secret or otherwise confidential; and (e) all Client Data, for which Client is Discloser. Notwithstanding the foregoing, Confidential Information does not include information that: (i) is in Recipient’s possession at the time of disclosure; (ii) is independently developed by Recipient without use of or reference to Confidential Information; (iii) becomes known publicly, before or after disclosure, other than as a result of Recipient’s improper action or inaction; or (iv) is approved for release in writing by Discloser. Recipient is on notice that the Confidential Information may include Discloser’s valuable trade secrets.

b.     Nondisclosure. Recipient shall not use Confidential Information for any purpose other than to facilitate the transactions contemplated by this Agreement (the “Purpose”). Recipient: (a) shall not disclose Confidential Information to any employee or contractor of Recipient unless such person needs access in order to facilitate the Purpose and executes a nondisclosure agreement with Recipient with terms no less restrictive than those of this Article 16; and (b) shall not disclose Confidential Information to any other third party without Discloser’s prior written consent, except, in Isara’s case, to sub-processors under the DPA. Without limiting the generality of the foregoing, Recipient shall protect Confidential Information with the same degree of care it uses to protect its own confidential information of similar nature and importance, but with no less than reasonable care. Recipient shall promptly notify Discloser of any misuse or misappropriation of Confidential Information that comes to Recipient’s attention. Notwithstanding the foregoing, Recipient may disclose Confidential Information as required by applicable law or by proper legal or governmental authority. Recipient shall give Discloser prompt notice of any such legal or governmental demand and reasonably cooperate with Discloser in any effort to seek a protective order or otherwise to contest such required disclosure, at Discloser’s expense.

c.     Injunction. Recipient agrees that breach of this Article 16 would cause Discloser irreparable injury, for which monetary damages would not provide adequate compensation, and that in addition to any other remedy, Discloser will be entitled to injunctive relief against such breach or threatened breach, without proving actual damage or posting a bond or other security.

d.     Termination & Return. With respect to each item of Confidential Information, the obligations of Section 16(b) above (Nondisclosure) will terminate 1 year after the date of disclosure; provided that such obligations related to Confidential Information constituting Discloser’s trade secrets shall continue so long as such information remains subject to trade secret protection pursuant to applicable law. Isara’s obligations in respect of Client Data continue for as long as Isara holds that Client Data. Upon termination of this Agreement, Recipient shall return all copies of Confidential Information to Discloser or certify, in writing, the destruction thereof; Client Data is returned or deleted in accordance with the DPA.

e.     Retention of Rights. This Agreement does not transfer ownership of Confidential Information or grant a license thereto. Discloser will retain all right, title, and interest in and to all Confidential Information.

17. Indemnification

a.     Client shall defend and indemnify Isara and Isara’s Associates (as defined below in Section 17(b)) against any “Indemnified Claim,” meaning any third-party claim, suit, or proceeding to the extent it arises from: (i) Client’s collection or provision of Client Data in breach of Section 13(d) or applicable law; (ii) Client’s breach of Section 11 or the AUP; or (iii) a Data Incident caused by Client, its Users, or anyone using Client’s login credentials. (A “Data Incident” is any (i) unauthorized disclosure of, access to, or use of Client Data or (ii) violation of Privacy/Security Law through Client’s account. “Privacy/Security Law” means applicable law governing the protection or management of personal information, including without limitation the following: Regulation (EU) 2016/679 (General Data Protection Regulation), the UK GDPR, the Data Protection Act 2018, the Children’s Online Privacy Protection Act (“COPPA”) of 1998, and the California Consumer Privacy Act (“CCPA”) of 2018.)

b.     Litigation & Additional Terms. The obligations of the indemnifying party (“Indemnitor”) pursuant to Section 17(a) above: (a) include retention and payment of attorneys and payment of court costs, as well as settlement at Indemnitor’s expense and payment of judgments; and (b) will be excused to the extent that the other contracting party’s (“Indemnified Party’s”) or any of such Indemnified Party’s Associates’ failure to provide prompt notice of the Indemnified Claim or reasonably to cooperate materially prejudices the defense. Indemnitor will control the defense of any Indemnified Claim, including appeals, negotiations, and any settlement or compromise thereof; provided Indemnified Party will have the right, not to be exercised unreasonably, to reject any settlement or compromise that requires that it admit wrongdoing or liability or subjects it to any ongoing affirmative obligations. (As used in this Article 17, a party’s “Associates” are its officers, directors, shareholders, parents, subsidiaries, agents, successors, and assigns.)

18. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

19. Termination

You are free to stop using our Services at any time. After cancellation of your monthly subscription, we will cease to bill you for the Services and you will no longer have access to our paid Services. Isara may suspend or terminate Client’s access immediately by written notice if Client: (a) materially breaches these Terms, the DPA or the AUP; (b) fails to pay undisputed fees within 14 days of a payment reminder; (c) uses the Services fraudulently or unlawfully, or in a way that harms or threatens Isara, its personnel, other clients or third parties; or (d) if continued access creates a material security or legal risk. Otherwise, Isara may terminate a paid subscription only on at least 30 days’ written notice, with a pro-rata refund of prepaid fees for the unused period. The following provisions will survive termination: “Fees and Payments”, “How You May Use Isara’s Services”, “Warranty Disclaimers”, “Limitation of Liability”, “Indemnification”, “Confidentiality”, “Governing Law and Jurisdiction”, “Feedback”, “Termination”, and “General Terms”.

We also may terminate your account if it has been inactive for over a year and you do not have a paid account. If we do, we will provide you with advance notice.

20. General Terms

These Terms, the DPA, the AUP and any Order Form form the entire agreement between Isara and Client regarding the Services. If they conflict, the following order applies: (1) the DPA, for anything relating to Personal Data; (2) an Order Form signed by both parties; (3) these Terms; (4) the AUP and Documentation. If you do not agree with our TOS, you should stop using our Services.

If Isara fails to enforce these TOS, that does not mean Isara waives the right to enforce them.

If any provision of the TOS is deemed unlawful, void, or unenforceable, that provision shall be deemed severable from these TOS and shall not affect the enforceability of the remaining provisions.

Our Services are not intended for distribution to or use in any country where such distribution or use would violate local law or would subject us to any regulations in another country. Isara reserves the right to limit our Services in any country.

If you have specific questions about these terms, please contact us at legal@isara.ai.

AI USE POLICY

Client must not use the Services to: (a) attempt to discover the underlying models, weights or training datasets of the Services; (b) scrape or bulk-extract data from the Services other than through Isara’s published exports and APIs; or (c) use Outputs to build or train a competing AI service. Isara and its sub-processors process inputs and Outputs to provide the Services and to detect and prevent abuse, as described in the DPA. Client is responsible for responding to third-party claims about its use of Outputs.
